Terms of Use
PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE REGISTERING FOR, ACCESSING, OR USING THE MINGLEAT PLATFORM. BY REGISTERING FOR, ACCESSING, OR USING THE PLATFORM, YOU ACCEPT AND AGREE TO BE LEGALLY BOUND BY THESE TERMS, OUR GUIDELINES, AND PRIVACY POLICY. IF YOU DO NOT AGREE, YOU MUST NOT USE THE PLATFORM.
ABOUT MINGLEAT AND THE PLATFORM
These Terms of Use (the "Terms") govern your access to and use of the MinglEat mobile application, website, and all associated booking systems, dashboards, content, features and functionality (together, the "Platform"), operated by MinglEat FZ-LLC ("MinglEat," "we," "us," or "our"), a company incorporated in the United Arab Emirates with its registered address at DMC-BLD05-VD-G00-594, Ground Floor, DMC5, Dubai Media City, Dubai, United Arab Emirates.
MinglEat is a social dining platform. It connects people who use the app with restaurants, cafés, bars and other food and beverage venues, for the purpose of organised group meals built around shared interests, professions, industries, hobbies or other common topics. These gatherings may be arranged by a user who chooses to host one, with MinglEat coordinating the booking and logistics with the relevant venue. Either way, the Platform's role is to help people find, join or arrange these meals, and to handle the practicalities of booking a table for the group.
We are a technology and marketplace intermediary. Except where we expressly say otherwise, we do not operate restaurants, prepare or serve food, organise or run the gatherings arranged through the Platform, or act as a payment institution. We are not responsible for the conduct of any user, or for the quality, availability or provision of services by any venue. Our role is limited to enabling introductions, bookings and coordination between users and venues through the Platform.
DEFINITIONS
Capitalised terms used in these Terms have the meanings given where they first appear. The following key terms are used throughout:
“Account” means your individual MinglEat profile and login, created on successful registration.
“Booking” means a confirmed reservation for a Dining Experience made through the Platform.
“Dining Experience” means an in-person gathering arranged through the Platform at a Restaurant, where Members meet to dine and engage in discussions centred around a specified topic, shared interest, profession, industry, hobby or other common purpose.
“Host” means a Member who creates and hosts a Dining Experience at a Restaurant on the Platform.
“Member” or “you” means a registered user who books and participates in Dining Experiences through the Platform.
“Restaurants” means any restaurant, café, bar, hotel, private dining venue, food and beverage establishment, or other hospitality venue that is listed on, or otherwise made available through, the Platform for the purpose of hosting Dining Experiences.
References to “Applicable Law” mean all laws, regulations, and binding rules of any competent governmental or regulatory authority that apply to a Member or to the Platform, including those of the United Arab Emirates and the Emirate of Dubai. “Privacy Policy” means MinglEat’s privacy policy, available at mingleat.com . which is incorporated herein by reference. “Guidelines” means MinglEat’s community guidelines, available at mingleat.com,which are incorporated herein by reference.
ELIGIBILITY, ACCOUNT AND REGISTRATION
Eligibility
To register for and use the Platform, you must:
be at least 18 years of age (or the age of majority in your jurisdiction, if higher);
be a resident of the United Arab Emirates;
have the legal capacity and authority to enter into a binding contract with MinglEat;
have not committed or been convicted of a serious offense, sexual crime, or violent crime, unless pardoned for a non-violent crime, and you do not pose a threat to other users;
have not been previously banned from the Platform unless authorized in writing by us to create a new account; and
not be the subject of any sanctions, and not be located in or ordinarily resident in any sanctioned territory, under the laws of the UAE, the United Nations, or any other applicable sanctions authority.
Your Account
To create an Account, you must provide accurate, current, and complete information, including your name, email address, contact number, and your date of birth. You are responsible for:
providing truthful and accurate information, and keeping your Account information up to date;
maintaining the confidentiality and security of your password and Account credentials;
all activity carried out through or under your Account; and
notifying us immediately if you know of or suspect any unauthorised access to or use of your Account.
Your Account is personal to you. You must not share, sell, assign, transfer, or sublicense your Account, or permit any other person to access or use it. We may verify your identity and eligibility at any time, and may refuse, suspend, or terminate registration where we are unable to verify your identity or where verification reveals that you do not meet the eligibility criteria.
BOOKINGS, OFFERINGS AND PRICING
MinglEat’s offerings
The Dining Experiences allow Members to connect for dinners or events based on preferences and interests. Dining Experiences listed on MinglEat are organised by event Hosts, not us. We are a third-party service providing the technology for managing events, and are not responsible or liable:
for event cancellations by the Host;
for any content or activities related to the event;
for the accuracy of the event information provided by the Host, including the time and connection details.
If you have an issue or question regarding any of the above, you should contact the event Host. Hosts have full control over their events, and it is their responsibility to inform you of any relevant terms or policies that apply to the Dining Experiences outside of these Terms, as well as to respond to and resolve any disputes that you may have regarding their events.
Making a Booking
You may book a Dining Experience only through the Platform using your own Account. By making a Booking you agree to pay the applicable fee shown at the time of Booking and to attend on time or cancel within the notice period in Section 7. You must present valid access credentials at the Restaurants. We may, acting reasonably, reschedule or relocate a Dining Experience (for example, due to Restaurant unavailability, weather, or Restaurant conditions); where we cannot reasonably provide a booked Dining Experience, we will offer a reschedule, a credit, or a refund of the fee for such Dining Experience.
Pricing
All pricing is set out in MinglEat’s current pricing as displayed on the Platform. Prices are in UAE Dirhams (AED) and, unless stated to be exclusive, are inclusive of applicable taxes. We may adjust pricing from time to time on reasonable notice; any change applies to purchases made after the change takes effect and does not affect any Booking already paid for.
DINNER RESERVATIONS AND EVENTS
Dinner Reservations
The Bookings made on the Platform are limited to facilitating reservations for Dining Experiences at participating Restaurants. The Platform does not own, operate or control any Restaurant and is not responsible for the food, beverages, menus, ingredients, preparation methods, hygiene standards, service, or any other products or services provided by a Restaurant.
Without limiting the foregoing:
Any dietary preferences, including preferences for vegetarian, vegan, pescatarian or other meal options, are collected solely to assist with the matching or booking process and do not constitute a guarantee that such options will be available at any Restaurant.
The Platform does not communicate, verify or guarantee the communication of any dietary requirements, food allergies, intolerances, religious dietary requirements or other food-related preferences to any Restaurant. Members are solely responsible for contacting the Restaurant directly before attending a Dining Experience to communicate any such requirements and to satisfy themselves that the Restaurant can safely accommodate them.
The Platform makes no representations or warranties regarding the suitability of any Restaurant or menu for any dietary requirement, food allergy or medical condition, and does not guarantee the absence of allergens or cross-contamination. Members attend Dining Experiences and consume food and beverages at their own risk.
If a Member determines that a Restaurant or its menu is unsuitable for any reason, the Member should notify the Platform as soon as reasonably practicable. While the Platform may, at its sole discretion, attempt to assist with changing the Restaurant or rescheduling the reservation, it is under no obligation to do so and cannot guarantee that any alternative arrangements will be available.
Reservations for Dining Experiences open and close as indicated on the Platform. Subject to availability, the Platform may permit reservations after the published booking period.
If a Member wishes to change or cancel a reservation, any such request will be subject to Section 7. The Platform does not guarantee that changes can be accommodated.
Only reservations made through the Platform are recognised by the Platform and, where applicable, eligible for refunds in accordance with these Terms. The Platform is not responsible for, and shall have no liability in relation to, reservations or arrangements made directly with a Restaurant or through any third party.
PAYMENTS, BILLING AND AUTO-RENEWAL
By booking a Dining Experience, you agree that:
you authorise MinglEat and its third-party payment processors to charge your selected payment method for all applicable fees; and
all fees are exclusive of any taxes, duties, or levies unless expressly stated otherwise, and you are responsible for any such amounts that apply to your purchase.
Payments are processed by third-party payment service providers. MinglEat does not store full card details, and your use of a payment method may be subject to that provider’s terms. If a payment fails or is declined, we may suspend or restrict your access to Dining Experiences, cancel affected Bookings, and block any further Bookings until all outstanding amounts are paid. We may also use third-party processors or collection agents to recover overdue amounts.
CANCELLATIONS, REFUNDS AND NO-SHOWS
Cancellation by Members
A Member may cancel their reservation for a Dining Experience through the Platform at any time before the scheduled start time.
Unless otherwise specified for a particular Dining Experience, cancellations made within the applicable cancellation period displayed on the Platform may be eligible for a refund, credit or other remedy, as determined by the Platform in its sole discretion and subject to these Terms.
Cancellations made after the applicable cancellation deadline, or after the Dining Experience has commenced, will not be eligible for any refund, credit or rescheduling, except where required by Applicable Law.
Where a Dining Experience is subject to a Restaurant's cancellation policy, the Member acknowledges that such policy may also apply.
No-Shows
A Member who fails to attend a Dining Experience for which they have made a reservation, or who arrives so late that they are unable to reasonably participate in the Dining Experience, may be treated as a "No-Show."
No-Shows are not entitled to any refund, credit or rescheduling, except where required by Applicable Law.
The Platform reserves the right to record No-Shows and, where a Member repeatedly fails to attend Dining Experiences without prior cancellation, to suspend or terminate the Member's Account, restrict future bookings, require advance payment, or take any other reasonable measures to protect the integrity of the Platform and the experience of other Members.
Changes Requested by Members
Requests to change a reservation, including changing the date, time, Restaurant or Dining Experience, are subject to availability and the Platform's approval. The Platform is under no obligation to accommodate any requested changes and cannot guarantee that an alternative Dining Experience will be available.
Cancellation or Changes by the Platform
The Platform reserves the right to cancel, postpone, reschedule or modify a Dining Experience at any time where reasonably necessary, including where:
the minimum number of participants is not met;
the Restaurant is unavailable or cancels the reservation;
health, safety, security or operational concerns arise;
circumstances beyond the Platform's reasonable control occur, including force majeure events; or
the Platform reasonably believes that proceeding with the Dining Experience may adversely affect the safety, security or experience of Members.
Where the Platform cancels a Dining Experience before it commences, the Platform may, at its discretion, offer affected Members a refund, credit or the opportunity to transfer their reservation to another Dining Experience. The Platform shall have no further liability arising from such cancellation.
Restaurant Cancellations
The Platform does not control participating Restaurants. If a Restaurant cancels, modifies or is unable to honour a reservation, the Platform may, but is not obliged to, arrange an alternative Restaurant, reschedule the Dining Experience or provide another reasonable solution. The Platform does not guarantee that an alternative arrangement will be available.
Refunds
Any refunds approved under these Terms will be processed using the original payment method unless the Platform determines otherwise. Processing times may vary depending on the payment provider or financial institution.
Any applicable booking fees, payment processing fees or other non-refundable charges disclosed at the time of booking may be deducted from any refund to the extent permitted by Applicable Law.
Exceptional Circumstances
The Platform may, in its sole discretion, consider requests for refunds or credits outside this policy in exceptional circumstances. Any such decision is made on a case-by-case basis and does not create any obligation or precedent for future requests.
MEMBER CONDUCT AND OBLIGATIONS
Prohibited Conduct
You agree not to do any of the following while using the Platform or participating in Dining Experiences:
violate these Terms, the Guidelines, or Privacy Policy;
violate any Applicable Law or the rights of any third party;
harass, threaten, defame, or abuse any Restaurant employee or other Member, or engage in discriminatory, hateful, or offensive conduct of any kind;
provide false health information or engage in any other fraudulent or deceptive practice;
disparage or make false statements that damage the reputation of MinglEat or the Restaurants;
access, tamper with, probe, or disrupt the Platform, its systems, or servers, or introduce any virus, malware, or harmful code;
use any bot, scraper, or automated means to access or extract data from the Platform without our written consent; or
engage in any illegal activity, or aid or abet any person in any of the above.
Conduct During Dining Experiences
Members are expected to conduct themselves in a respectful, courteous and lawful manner at all times during a Dining Experience and when interacting with other Members, the Hosts, Restaurants and their staff.
Without limitation, each Member agrees that he/she shall:
treat all other Members, the Host, and Restaurant personnel with respect and refrain from any behaviour that is abusive, discriminatory, threatening, intimidating, harassing, offensive or otherwise inappropriate;
comply with all Applicable Laws, regulations and the rules, policies and reasonable instructions of the Restaurant and the Host;
arrive at the designated Restaurant at the scheduled time and promptly notify the Platform if they are unable to attend or will be materially delayed;
refrain from engaging in any conduct that may disrupt the Dining Experience or interfere with the enjoyment or safety of other Members;
consume alcohol responsibly (where alcohol is available) and refrain from attending or remaining at a Dining Experience while intoxicated or under the influence of illegal substances;
respect the privacy and personal boundaries of other Members and refrain from recording, photographing or filming other participants without their prior consent;
refrain from engaging in unsolicited commercial activities, including advertising, soliciting business, recruiting participants or promoting products or services during a Dining Experience, unless expressly authorised by the Platform;
promptly pay for any food, beverages or other items for which they are responsible, unless otherwise expressly agreed or specified by the Platform; and
promptly report any safety concerns, inappropriate conduct or other incidents to the Platform.
Members are solely responsible for their own conduct, statements and interactions during a Dining Experience. The Platform does not supervise or control the conduct of Members or Restaurants and does not guarantee the behaviour, identity, suitability or compatibility of any other Member.
The Platform reserves the right, at its sole discretion, to refuse participation in, remove a Member from, or cancel a Member's reservation for a Dining Experience, or suspend or terminate a Member's Account, where it reasonably believes that the Member has breached these Terms, engaged in inappropriate or unlawful conduct, posed a risk to the safety, wellbeing or enjoyment of others, or otherwise acted in a manner inconsistent with the purpose of the Platform.
Any Member who causes loss, damage or injury to another Member, a Restaurant, the Platform or any third party shall be solely responsible for such loss, damage or injury and shall indemnify the Platform in accordance with these Terms.
INTELLECTUAL PROPERTY, APP LICENCE AND YOUR CONTENT
MinglEat IP
All content on the Platform, including the MinglEat name, logos, trademarks, service marks, software, source code, algorithms, databases, designs, graphics, video, images, and audio (together, “MinglEat IP”), is owned by or licensed to MinglEat and is protected by intellectual property laws. All rights not expressly granted to you are reserved.
Licence to Use the Platform
Subject to your compliance with these Terms, MinglEat grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Platform solely to book and participate in Dining Experiences for your own personal, non-commercial use. You must not copy, reproduce, distribute, modify, translate, or create derivative works of any MinglEat IP; use it for any commercial purpose; remove or alter any proprietary notices; reverse engineer, decompile, or disassemble any part of the Platform; or use the Platform to build or improve a competing product or service. Unauthorised use of MinglEat IP may result in immediate termination of your Account and legal action.
Mobile Application
Our mobile application is licensed, not sold, to you. Where you download it from a third-party app store (such as the Apple App Store or Google Play), your use is also subject to that store’s terms, and you must comply with them. You acknowledge that the relevant app store provider is not responsible for the application or its support, and that, to the extent required by the app store’s terms, the app store provider is a third-party beneficiary of your licence and may enforce it against you.
Your Content and Feedback
If you submit any content, feedback, suggestions, reviews, or testimonials to MinglEat (“Member Content”), you grant MinglEat a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable licence to use, reproduce, modify, publish, and distribute that Member Content in connection with operating, providing, and promoting the Platform, without restriction or compensation to you. You represent that you own or are entitled to submit your Member Content and that it does not infringe any third party’s rights or violate Applicable Law.
Recording and Publicity at Facilities
Group Activities and events may occasionally be photographed or filmed by MinglEat for legitimate business and marketing purposes. Where we intend to use material in which you are identifiable for marketing, we will rely on your consent or another lawful basis in accordance with our Privacy Policy and Applicable Law, and you may ask us not to use such material. You must comply with each Restaurant’s photography and recording restrictions at the Facilities.
PLATFORM AVAILABILITY AND CHANGES
We will use reasonable efforts to keep the Platform available and operating properly, but the Platform may from time to time be unavailable, interrupted, delayed, or limited due to scheduled maintenance, updates, third-party service failures, security incidents, or other technical or operational reasons. We may modify, enhance, suspend, remove, or discontinue any part of the Platform, including any feature or functionality, at any time. To the extent permitted by Applicable Law, we are not liable for any unavailability, interruption, modification, or discontinuation of the Platform or any part of it.
THIRD-PARTY SERVICES AND INTEGRATIONS
The Platform relies on third-party service providers (such as hosting, cloud infrastructure, analytics, communications, and payment processing) and may link to or integrate with third-party services we do not control, including the Restaurants’ own systems, messaging applications, and app stores. Where providers process data on our behalf, they do so under contract and only for authorised purposes. If you choose to access a third-party service, your dealings with it are governed by its own terms and privacy policy, and MinglEat is not responsible for the content, availability, security, or data practices of any third-party service.
DATA PROTECTION AND COMMUNICATIONS
MinglEat processes your personal data in accordance with our Privacy Policy and applicable UAE data protection law, including Federal Decree-Law No. (45) of 2021 on the Protection of Personal Data. As between MinglEat and the Restaurants, MinglEat is the controller of the Member personal data collected through the Platform; a Restaurant may collect and process limited Member data in accordance with its own privacy policy. By using the Platform, you acknowledge that you have read our Privacy Policy.
You consent to receive transactional and service communications from us (such as Booking confirmations, forfeiture notices, payment receipts, and important notices about these Terms) by email, in-app notification, or other electronic means. We may also send you marketing communications by email, SMS, WhatsApp, or push notification where permitted; you may opt out of marketing at any time without affecting transactional communications.
SUSPENSION AND TERMINATION
By MinglEat
We may suspend, restrict, or terminate your Account or access to the Platform, with or without notice, where we reasonably believe that you have breached these Terms or any Applicable Law; you have engaged in abusive, fraudulent, illegal, or unsafe conduct; you have attempted to circumvent MinglEat or arrange Dining Experiences outside the Platform; you have provided false or misleading information; you have failed to pay for Dining Experiences; your continued use poses a risk to MinglEat, its other Members, the Hosts, the Restaurants, or their staff; or your Account has been inactive for an extended period. Where reasonably practicable, we will give notice, but we are not obliged to provide prior notice or an opportunity to cure.
By you
You may terminate your Account at any time using the deletion process on the Platform or by contacting customer support. Cancelling a membership is dealt with in Section 7.
Effect of termination
On termination, your right to use the Platform ceases immediately, and you must stop using it. We may cancel future Bookings, and we may delete or anonymise your Account information in accordance with our Privacy Policy and Applicable Law. Where we terminate your Account other than for your breach, we will refund any amount you have prepaid for Dining Experiences that can no longer be provided, within thirty (30) days or as required by Applicable Law. Sections that by their nature should survive termination (including Sections on intellectual property, disclaimers, limitation of liability, indemnity, data protection, and dispute resolution) continue in effect.
DISCLAIMERS AND MINGLEAT’S ROLE
MinglEat is Not a Service Provider
MinglEat is solely a technology platform that facilitates Bookings, payments, and access to the Restaurants. We do not provide, perform, supervise, or participate in any Dining Experience, and we do not own, operate, or control any facility. The Restaurants are independent contractors of MinglEat, and MinglEat is not a partner, agent, joint venturer, or affiliate of any Restaurants, and the Restaurants are not subject to our direction or control over how they deliver Dining Experiences. MinglEat is not responsible for the acts, omissions, negligence, or misconduct of any Restaurant, Restaurant employee, or other third party, or for the condition, safety, or hygiene of any Restaurant. Issues concerning a Restaurant should be raised directly with such Restaurant, and your recourse for such matters lies against them, although we will provide reasonable assistance where appropriate.
“As is”
To the fullest extent permitted by Applicable Law, the Platform and the Dining Experiences are provided on an “as is” and “as available” basis, and MinglEat disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, accuracy, and availability. Without limiting that, we do not warrant that the Platform will be uninterrupted, secure, or error-free; that any Dining Experience will achieve any particular result or meet your expectations; or that any Restaurant will meet any particular safety or hygiene standard. Nothing in these Terms excludes any liability or warranty that cannot lawfully be excluded.
LIMITATION OF LIABILITY
To the maximum extent permitted by Applicable Law, MinglEat (including its affiliates, directors, officers, employees, and agents) will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business, data, or goodwill, arising out of or in connection with your use of the Platform or participation in the Dining Experiences, even if advised of the possibility of such damages.
To the maximum extent permitted by Applicable Law, MinglEat’s total aggregate liability for all claims arising out of or relating to these Terms, the Platform, or the Dining Experiences will not exceed the total fees you actually paid for Dining Experiences in the six (6) months before the event giving rise to the claim.
Nothing in these Terms limits or excludes MinglEat’s liability for death or personal injury caused by its own negligence, for its own fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under Applicable Law.
INDEMNITY
You agree to indemnify, defend, and hold harmless MinglEat and its affiliates, directors, officers, employees, and agents from and against all third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: your breach of these Terms or any Applicable Law; any false or misleading information you provide; your conduct at any Restaurant; any dispute between you and any other Member, or Restaurant; or your infringement of any third party’s privacy, publicity, or intellectual property rights. We may assume the exclusive defence of any matter subject to indemnity, in which case you will cooperate with us, and you must not settle any such matter without our prior written consent.
CHANGES TO THESE TERMS
We may update these Terms from time to time. We will give at least 30 days’ notice of material changes by email to the address linked to your Account or by a prominent notice on the Platform, and we will update the “Last Updated” date above, unless a shorter period is required by Applicable Law. Your continued use of the Platform after the notice period constitutes acceptance of the revised Terms. If you do not accept them, you must discontinue use before they take effect.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms, and any dispute or claim arising out of or in connection with them or the Platform (including non-contractual disputes), are governed by the laws of England and Wales, without regard to conflict of law principles.
The parties will first try to resolve any dispute amicably through good-faith discussions within thirty (30) days of written notice of the dispute. If the dispute is not resolved within that period, it will be finally resolved by binding arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC), by a single arbitrator, seated in Dubai, conducted in English.
GENERAL
Entire agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and MinglEat regarding the Platform and supersede all prior understandings.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our consent; any attempted assignment is void. We may assign or novate these Terms to an affiliate or successor on notice.
Relationship. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and MinglEat. You may not act on behalf of, or bind, MinglEat.
No third-party rights. Except as expressly stated herein, these Terms do not confer rights on any person other than you and MinglEat.
Waiver. Our failure or delay in enforcing any right or provision is not a waiver of it, and a single or partial exercise does not preclude any further exercise.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
Force majeure. We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, or government action. We will use reasonable efforts to resume performance and will notify affected Members.
Sanctions and compliance. You represent that you are not subject to sanctions, and you agree to comply with all applicable anti-bribery, anti-corruption, and sanctions laws in connection with your use of the Platform.
Notices. We may give you notices by email, in-app notification, or through the Platform. You may contact us using the details in Section 21.
